IMPORTANT: Please read these Terms of Service carefully. By registering for or using DealerHub, you agree to be bound by these terms. If you do not agree, do not use the platform. These terms include a binding arbitration clause and class action waiver in Section 15.
DealerHub ("Company," "we," "us," or "our") operates an online wholesale vehicle auction marketplace at dealerhub.cloud (the "Platform"). DealerHub provides technology services that connect licensed motor vehicle dealers to facilitate wholesale vehicle transactions. DealerHub is not a party to any transaction between dealers and does not buy, sell, or take title to any vehicle listed on the Platform.
To use DealerHub you must:
DealerHub reserves the right to verify your dealer license with state authorities and to deny, suspend, or revoke access to any account at any time, with or without cause, at our sole discretion. Approval of an account does not constitute an endorsement of any dealer or guarantee of any transaction.
You are responsible for maintaining the confidentiality of your account credentials. You are liable for all activity that occurs under your account.
DealerHub provides a technology platform for dealers to list, auction, and purchase wholesale vehicles. We facilitate payment processing but are not responsible for the vehicles, their condition, title, or any aspect of the physical transaction between dealers.
DealerHub charges a flat fee of $150.00 per completed transaction, collected from both the buyer and the seller:
Fees are earned upon a successful auction close where the reserve price is met. DealerHub reserves the right to modify its fee structure with 30 days notice to registered dealers.
DealerHub does not charge subscription or listing fees. Fees are only charged when a vehicle sells.
All bids placed on DealerHub are legally binding offers to purchase. By placing a bid, you agree that if your bid is the winning bid and the reserve price is met, you are obligated to complete the purchase at the bid amount plus applicable fees.
Minimum bid increments are $100. Bids below the minimum increment will be rejected.
Sellers are strictly prohibited from bidding on their own listings, directly or through any third party. Violation of this rule will result in immediate account suspension and forfeiture of any fees paid.
Sellers may set a reserve price. If the final bid does not meet the reserve price, the seller is not obligated to sell and no fees are charged.
Auctions run for the duration set by the seller (1 to 14 days). DealerHub reserves the right to end any auction at any time for any reason, including suspected fraud or policy violation.
Unsold vehicles may be relisted up to 5 times. A minimum 1-hour cooling-off period is required between relists.
By listing a vehicle on DealerHub, the seller represents and warrants that:
Sellers are solely responsible for the accuracy of their listings. DealerHub does not independently verify vehicle information, condition, title, or mileage.
By placing a bid, the buyer agrees that:
ALL VEHICLES ON DEALERHUB ARE SOLD AS-IS, WHERE-IS, WITH NO WARRANTIES EXPRESS OR IMPLIED. DealerHub does not inspect vehicles, verify condition, mileage, accident history, or title. Buyers are solely responsible for conducting their own due diligence before bidding. DealerHub expressly disclaims any warranty of merchantability or fitness for a particular purpose with respect to any vehicle listed on the Platform.
Payments are processed via ACH bank transfer through our payment processor. By adding a bank account to your profile, you authorize DealerHub to initiate ACH debits and credits as necessary to process transactions.
Seller payouts are processed after buyer payment is confirmed. ACH transfers typically settle within 1-3 business days. DealerHub is not responsible for delays caused by financial institutions.
If a buyer's payment fails or is reversed, the sale may be voided at DealerHub's discretion. The seller will be notified and may relist the vehicle. Buyers whose payments fail may be suspended.
All dealers must verify their bank account via micro-deposit verification before listing vehicles or placing bids. This requirement exists to protect all parties on the Platform.
You agree not to:
Violation of these prohibitions may result in immediate account suspension, forfeiture of fees, and legal action.
DealerHub is not a party to transactions between dealers. In the event of a dispute between a buyer and seller:
DealerHub is not obligated to resolve any dispute and expressly disclaims any liability for losses arising from transactions between dealers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERHUB'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DEALERHUB IN THE 3 MONTHS PRECEDING THE CLAIM.
DealerHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, loss of goodwill, or business interruption, even if DealerHub has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless DealerHub and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from your use of the Platform, your violation of these Terms, or any transaction you enter into through the Platform.
DealerHub and its content, features, and functionality are owned by DealerHub and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or create derivative works from any portion of the Platform without our written consent.
By uploading photos or other content to the Platform, you grant DealerHub a non-exclusive, royalty-free license to use that content for the purpose of operating the Platform.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the state of Connecticut. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against DealerHub.
Exception: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the courts located in Connecticut for any disputes not subject to arbitration.
DealerHub reserves the right to modify these Terms at any time. We will notify registered dealers of material changes via email. Continued use of the Platform after notification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.
DealerHub may terminate or suspend your account at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Platform immediately ceases. Any pending transactions at the time of termination will be handled at DealerHub's discretion. Sections 7, 11, 12, 15, and 16 survive termination.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and DealerHub regarding the Platform and supersede all prior agreements and understandings.
